Basic Policy
Nippon Shokubai Group (“the Group”) discloses fair, highly transparent information properly and in a timely manner to help shareholders, investors, customers, business partners, local communities, employees, and other stakeholders develop a deep understanding of the Group. The Group also takes practical steps to enhance its corporate value by engaging in dialogue actively with and respects stakeholders in an effort to build and maintain trust-based relationships over the long term and gain support for its business activities.
Criteria for Disclosure
Nippon Shokubai Group (“the Group”) discloses information properly and in a timely manner based on transparency and fairness and in line with the Financial Instruments and Exchange Act, other laws and regulations, and Timely Disclosure Rules published by the Tokyo Stock Exchange (“Timely Disclosure Rules”).
The Group also proactively and fairly discloses information the Group determines to be important or beneficial for helping stakeholders understand the Group, even when laws, regulations, and Timely Disclosure Rules do not apply.
Methods of Disclosure
Nippon Shokubai Group (“the Group”)discloses information as defined in Timely Disclosure Rules on the timely disclosure system provided by the Tokyo Stock Exchange (TDnet) in line with the rules. Immediately afterward, the Group post the information on our website.
The Groups also widely distributes information the group determines to be important or beneficial—for example, by posting it on the corporate website—even when Timely Disclosure Rules do not apply.
Silent Period
For the purpose of preventing the leakage of financial results information and to ensure impartiality, Nippon Shokubai Group (“the Group”) defines the period that, in principle, commences on the day after the final day of each quarter of the fiscal year and terminates upon announcement of the financial results as a silent priod and does not make any comment or answer questions on financial results during that period. However, if there arises a prospect of significant deviation from the earnings forecast during the period of silence, the Group will disclose the information in accordance with the Timely Disclosure Rules.
Projections
Projections and forecasts among the Group’s disclosures are determined based on the information available at the time of the disclosures, and thus involve risk and uncertainty. the Group asks for your understanding that actual results or performance may differ substantially due to various factors.
