Disclosure Policy

Basic Policy

The Nippon Shokubai Group (“the Group”) discloses fair, highly transparent information properly and in a timely manner to help shareholders, investors, customers, business partners, local communities, employees, and other stakeholders develop a deep understanding of the Group. The Group also takes practical steps to enhance its corporate value by engaging in dialogue actively with and respects stakeholders in an effort to build and maintain trust-based relationships over the long term and gain support for its business activities.

Criteria for Disclosure

We disclose information properly and in a timely manner based on transparency and fairness and in line with the Financial Instruments and Exchange Act, other laws and regulations, and Timely Disclosure Rules published by the Tokyo Stock Exchange (“Timely Disclosure Rules”).
We also proactively and fairly disclose information we determine to be important or beneficial for helping stakeholders understand the Group, even when laws, regulations, and Timely Disclosure Rules do not apply.

Methods of Disclosure

We disclose information as defined in Timely Disclosure Rules on the timely disclosure system provided by the Tokyo Stock Exchange (TDnet) in line with the rules. Immediately afterward, we post the information on our website.
We also widely distribute information we determine to be important or beneficial—for example, by posting it on our website—even when Timely Disclosure Rules do not apply.

Silent Period

To prevent the untimely divulgence of financial statements (including quarterly results) and to ensure the fairness of our disclosures, we have established a silent period lasting from the day after the final day of the fiscal year until we publish our financial statements.During the silent period, we refrain from responding to questions about, or commenting on our financial results or forecasts.However, we make disclosures as needed during the silent period in accordance with Timely Disclosure Rules if we foresee anything that could have a substantial impact on existing forecasts.

Projections

Projections and forecasts among our disclosures are determined based on the information available at the time of the disclosures, and thus involve risk and uncertainty. We ask for your understanding that actual results or performance may differ substantially due to various factors.
